Terms of Services

By accessing, registering, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, such as a healthcare clinic, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Platform or the Services.

You must be at least 18 years old to use the Services. By using the Services, you confirm that you are a licensed healthcare provider, a representative of a healthcare facility, or another authorized user with the rights needed to access and use the Services. You agree to provide accurate, current, and complete information when registering or using the Services.

Grant of license. Subject to these Terms, Vectorsoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful purposes and in accordance with these Terms.

Restrictions on use. You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
• Use the Services in any way that could damage, disable, overburden, or impair their functionality
• Use the Services for any unlawful purpose or in any way that violates applicable laws and regulations

As a User of the Services, you agree to:

• Provide accurate information. Keep the information you enter true, accurate, and up to date. You are responsible for the accuracy and completeness of what you input into the Platform.
• Comply with applicable laws. Follow all laws and regulations that apply to your practice, including HIPAA and other healthcare and data-protection rules.
• Obtain patient consent. Where required, obtain the necessary consent from patients before entering or sharing their personal and medical information through the Platform.

As the covered entity, the Provider is responsible for the lawful collection, use, and disclosure of patient information in the Platform.

E-prescribing functionality. The e-prescribing tools in the Services let healthcare providers send prescriptions electronically to pharmacies. You acknowledge that Vectorsoft is not responsible for the accuracy, legality, or appropriateness of any prescription, and that this responsibility rests with the prescribing healthcare provider.

Medication choices. Providers decide on medications based on clinical judgment, and patients may choose the pharmacy to which their prescriptions are sent.

Subscription fees. Vectorsoft may charge fees for certain features or Services, such as platform subscriptions or billing services. Applicable fees are set out in the relevant agreement or invoice, and you agree to pay them on time.

Billing and payment terms. You agree to provide accurate payment information and authorize Vectorsoft to charge the fees due for the Services. Failure to pay may result in suspension or termination of access.

Revenue cycle management (RCM). If you subscribe to RCM (billing and collections), you agree to provide accurate billing information and to cooperate in the submission and collection of insurance claims and patient payments.

Privacy. Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data.

Protected health information. Health information entered into the Platform belongs to the Provider. For that data, Vectorsoft acts as a business associate under a Business Associate Agreement (BAA) signed with the Provider, and follows the HIPAA Privacy and Security Rules. Where these Terms conflict with that BAA on the handling of protected health information, the BAA controls. Records from substance use disorder programs also carry the added confidentiality protections of 42 CFR Part 2.

Security. Vectorsoft uses commercially reasonable measures to protect your data, including encryption and access controls, described further on our security page. No method of transmission or storage is completely secure, so we cannot guarantee absolute security.

Third-party providers. The Services may integrate with third parties, such as pharmacies, insurance providers, or other healthcare organizations. Vectorsoft is not responsible for the actions, services, or policies of third parties, and you acknowledge that interactions with them are at your own risk.

Pharmacy networks. Vectorsoft does not endorse or guarantee the services of any specific pharmacy. You may send prescriptions to any pharmacy in the network, and Vectorsoft does not assume responsibility for prescription fulfillment.

Termination by Vectorsoft. We may suspend or terminate access to the Services for any User that violates these Terms, engages in illegal activity, or disrupts the functioning of the Platform.

Termination by you. You may stop using the Services at any time by contacting us. Any outstanding fees or obligations incurred before termination remain due.

Effect of termination. On termination, your right to access and use the Services ends. Any data associated with your account is handled in line with our Privacy Policy and any applicable BAA.

Disclaimer of warranties.The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including the implied warranties of merchantability or fitness for a particular purpose.

Limitation of liability.To the fullest extent permitted by law, Vectorsoft's liability for any claims arising out of or related to the Services is limited to the amount you paid for the Services in the 12-month period preceding the claim. Vectorsoft is not liable for any indirect, incidental, or consequential damages.

You agree to indemnify, defend, and hold harmless Vectorsoft, its affiliates, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising out of or connected to your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party rights.

Governing law. These Terms are governed by and construed under the laws of the State of Illinois, without regard to its conflict-of-law principles.

Dispute resolution. Any dispute arising out of or connected to these Terms will be resolved through binding arbitration seated in Illinois. You agree to waive any right to a trial by jury and to participate in a class action.

Vectorsoft may modify or update these Terms at any time. When changes are made, we will update the effective date below and notify you through the Platform or by email. Continued use of the Services after a change takes effect means you accept the updated Terms.

Entire agreement. These Terms, together with our Privacy Policy and any BAA or order form, make up the entire agreement between you and Vectorsoft regarding the Services.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in full force and effect.

Waiver. Any failure by Vectorsoft to enforce a provision of these Terms is not a waiver of that provision.
